The premiere of the new edition of Operación Triunfo once again raises various legal issues that must be understood before signing a music contract.
Ramón Mesonero-Romanos, partner in the intellectual property department, and Pablo Pedraza, solicitor in the same department, analyse for Cinco Días the importance of understanding the legal aspects of each music contract: ‘Signing an agreement without fully understanding it can affect an entire career, from the exploitation of a work to the management of one's own image.’
As for the types of music contracts, our solicitors begin by discussing the record deal. Through this, the artist transfers the exploitation rights of their recordings to the record label and undertakes exclusively not to record with another label or publish new works on their own. In addition, as our experts point out, ‘it is increasingly common for record labels to include clauses relating to the transfer of image, stage name and biographical data. In this way, the company can manage the use of the artist's image and even reserve a percentage of the income derived from this exploitation.’
On the other hand, there is the publishing contract, which focuses on the musical work as a creation. This includes the transfer of certain rights such as reproduction and distribution. According to our lawyers, ‘for those who compose, this contract ensures that their songs have a life beyond the studio.’
The management contract, meanwhile, focuses on promoting the artist's career by seeking performances and negotiating contracts, among other things. Our lawyers point out that ‘choosing a representative involves certain risks, as signing overly rigid terms can limit the artist's freedom.’
Finally, there are the legal aspects of the tour contract, which regulates the provision of artistic services for concerts and public performances. As Mesonero-Romanos and Pedraza explain: ‘the legal and financial terms must be clearly defined, including the artist's fee, as well as any additional income from ticket sales or merchandising’.
